aPlanner provides an AI-powered production planning platform that includes demand forecasting, constraint-based scheduling, scenario simulation, and related analytics tools. The Service may include web applications, APIs, documentation, and support services.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Amoza Corporation and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely for the purpose of providing and improving the Service.

6. Limitation of Liability

To the maximum extent permitted by applicable law, aPlanner and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless aPlanner and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we will make commercially reasonable efforts to provide you with a copy of Your Data for a period of 30 days.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of Hanoi, Vietnam.
